These Terms of Service ("Terms") govern your access to and use of the services provided by Paytroz Technologies Private Limited ("Paytroz", "we", "us", or "our"), including our payment gateway switching platform, UPI infrastructure, wallet services, APIs, SDKs, and related products.
By registering for an account, accessing our APIs, or using any of our services, you agree to be bound by these Terms. If you do not agree to these Terms, you may not use our services.
1. Definitions
- "Services" means all products, APIs, platforms, and services provided by Paytroz, including PGX, QR+, BankConnect, ChatPay, RetailX, Payouts, LoopWallet, EvidyaPlus, KYC API, and eSign.
- "Merchant" or "You" means the business entity or individual that registers for and uses our services.
- "API" means the application programming interfaces provided by Paytroz for integration.
- "Transaction" means any payment, transfer, or financial operation processed through our services.
- "Customer" means the end-users who make payments through your integration with our services.
2. Account Registration and Eligibility
2.1 Eligibility
To use our services, you must:
- Be at least 18 years of age or the age of majority in your jurisdiction
- Be legally authorized to enter into binding contracts
- Have a valid business registered in India or an approved jurisdiction
- Provide accurate, complete, and current registration information
- Comply with all applicable laws and regulations
2.2 Account Registration
To create an account, you must:
- Complete the registration process with accurate information
- Provide required KYC documents (PAN, Aadhaar, GST, business licenses)
- Verify your email address and phone number
- Accept these Terms and our Privacy Policy
- Pass our risk and compliance assessment
2.3 Account Security
You are responsible for:
- Maintaining the confidentiality of your API keys, passwords, and credentials
- All activities that occur under your account
- Immediately notifying us of any unauthorized access or security breach
- Using strong passwords and enabling two-factor authentication
- Restricting access to authorized personnel only
We are not liable for any losses arising from unauthorized use of your account resulting from your failure to maintain security.
3. Use of Services
3.1 License Grant
Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use our services for your business purposes.
3.2 Acceptable Use
You agree to use our services only for lawful purposes and in compliance with:
- All applicable laws, regulations, and industry standards
- RBI guidelines and payment regulations
- PCI DSS requirements for payment security
- Anti-money laundering (AML) and counter-terrorism financing (CTF) laws
- Consumer protection regulations
3.3 Prohibited Activities
You must not:
- Process payments for illegal goods, services, or activities
- Engage in fraudulent, deceptive, or unfair practices
- Violate intellectual property rights
- Transmit malware, viruses, or harmful code
- Attempt to gain unauthorized access to our systems
- Reverse engineer, decompile, or disassemble our services
- Use our services to compete with Paytroz
- Resell or sublicense our services without authorization
- Exceed API rate limits or abuse our infrastructure
- Process high-risk transactions without prior approval
3.4 High-Risk Businesses
Certain business categories require special approval and may be subject to additional terms, higher fees, or reserves. These include but are not limited to: gambling, cryptocurrency, adult content, multi-level marketing, and travel services.
4. Fees and Payment Terms
4.1 Service Fees
You agree to pay fees as outlined in your service agreement, which may include:
- Transaction fees based on payment method and volume
- Monthly or annual subscription fees
- Setup and integration fees
- Chargeback and dispute resolution fees
- Premium feature and add-on charges
4.2 Fee Collection
Fees are automatically deducted from your settlements or charged to your registered payment method. We reserve the right to:
- Deduct fees before settling funds to your account
- Charge fees monthly or per transaction as specified
- Adjust fees with 30 days' notice
- Withhold settlements for fee non-payment
4.3 Settlements
Funds are typically settled according to the schedule in your service agreement:
- Standard settlement: T+2 to T+7 business days
- Instant settlement: Subject to approval and additional fees
- Settlements may be delayed for risk review, compliance, or disputes
- Minimum settlement thresholds may apply
4.4 Reserves and Holds
We may establish reserves or hold funds to mitigate risk:
- Rolling reserves: A percentage of daily sales held for a specified period
- Fixed reserves: A fixed amount maintained in reserve
- Minimum reserves: Required for high-risk merchants
- Dispute reserves: Funds held pending chargeback resolution
4.5 Refunds and Chargebacks
You are responsible for:
- Processing customer refunds through our platform
- Responding to chargeback notifications within specified timeframes
- Bearing the cost of chargebacks and associated fees
- Maintaining adequate funds to cover refunds and chargebacks
5. Service Level Agreement
5.1 Uptime Commitment
We commit to maintaining 99.9% uptime for our core API services, measured monthly. Planned maintenance windows are excluded from uptime calculations.
5.2 Support
We provide:
- Email support: 24/7 with response within 4 business hours
- Phone support: Business hours for critical issues
- Dedicated account manager: For enterprise plans
- Developer documentation and API references
5.3 Exclusions
The SLA does not cover outages caused by:
- Third-party payment gateway or bank downtime
- Your infrastructure or integration issues
- Force majeure events
- Scheduled maintenance with prior notice
- DDoS attacks or security incidents beyond our control
6. Data and Privacy
6.1 Data Processing
We process data in accordance with our Privacy Policy and applicable data protection laws. You agree that:
- We may collect and process data necessary to provide services
- You have obtained necessary consents from your customers
- You comply with data protection regulations in your jurisdiction
6.2 Data Ownership
You retain ownership of your business data. We retain ownership of aggregated, anonymized data and use it to improve our services.
6.3 Data Security
We implement industry-standard security measures, but you are responsible for securing your systems, credentials, and customer data.
7. Intellectual Property
7.1 Our Rights
All intellectual property rights in our services, including APIs, documentation, logos, and trademarks, are owned by Paytroz. You may not use our intellectual property without permission.
7.2 Your Rights
You retain ownership of your content, branding, and business information. You grant us a license to use your content solely to provide our services.
7.3 Feedback
Any feedback, suggestions, or ideas you provide become our property, and we may use them without compensation or attribution.
8. Compliance and Regulatory Requirements
8.1 KYC and AML
You must:
- Provide accurate KYC information and documents
- Conduct KYC verification of your customers as required
- Report suspicious transactions
- Cooperate with regulatory investigations
- Update your information when changes occur
8.2 Risk Monitoring
We continuously monitor transactions for fraud and compliance. We may:
- Request additional information about transactions
- Delay or reject suspicious transactions
- Suspend or terminate accounts for violations
- Report illegal activities to authorities
8.3 Audit Rights
We reserve the right to audit your compliance with these Terms and may request documentation, records, or access to your systems.
9. Limitation of Liability
9.1 Disclaimer of Warranties
Our services are provided "as is" and "as available" without warranties of any kind, express or implied. We do not warrant that:
- Services will be uninterrupted, error-free, or secure
- Results will be accurate or reliable
- Defects will be corrected
- Third-party services will be available
9.2 Limitation of Liability
To the maximum extent permitted by law, Paytroz shall not be liable for:
- Indirect, incidental, special, consequential, or punitive damages
- Loss of profits, revenue, data, or business opportunities
- Business interruption or service outages
- Third-party actions or failures
- Unauthorized access to your account due to your negligence
Our total liability for any claims shall not exceed the fees paid by you in the 12 months preceding the claim or INR 100,000, whichever is lower.
9.3 Indemnification
You agree to indemnify and hold harmless Paytroz from any claims, losses, or expenses arising from:
- Your violation of these Terms
- Your violation of applicable laws
- Your products, services, or business practices
- Disputes with your customers
- Intellectual property infringement
10. Term and Termination
10.1 Term
These Terms remain in effect as long as you use our services.
10.2 Termination by You
You may terminate your account at any time by providing 30 days' written notice. You remain responsible for:
- All outstanding fees and charges
- Pending transactions and refunds
- Chargebacks filed within 180 days after termination
10.3 Termination by Us
We may suspend or terminate your account immediately if:
- You violate these Terms
- You engage in fraudulent or illegal activities
- Your account poses risk to Paytroz or others
- You fail to pay fees
- Required by law or regulatory authorities
- We cease offering services in your jurisdiction
10.4 Effect of Termination
Upon termination:
- Your license to use our services is immediately revoked
- API access is disabled
- Outstanding funds are settled per our settlement schedule
- We may retain data as required by law
- Provisions that should survive termination remain in effect
11. Dispute Resolution
11.1 Informal Resolution
Before initiating formal proceedings, you agree to attempt to resolve disputes informally by contacting our support team.
11.2 Arbitration
Any disputes that cannot be resolved informally shall be settled by binding arbitration in accordance with the Arbitration and Conciliation Act, 1996. The arbitration shall be:
- Conducted in Bangalore, India
- Governed by Indian law
- Conducted in English language
- Binding and final
11.3 Exceptions
Either party may seek injunctive relief in court for intellectual property violations or confidentiality breaches.
12. General Provisions
12.1 Governing Law
These Terms are governed by the laws of India, without regard to conflict of law principles.
12.2 Amendments
We may modify these Terms at any time. We will notify you of material changes via email or dashboard notification. Continued use after notification constitutes acceptance.
12.3 Assignment
You may not assign or transfer your rights under these Terms without our written consent. We may assign our rights to any affiliate or successor.
12.4 Force Majeure
Neither party is liable for failure to perform obligations due to events beyond reasonable control, including natural disasters, war, terrorism, strikes, or government actions.
12.5 Severability
If any provision is found invalid or unenforceable, the remaining provisions continue in full force and effect.
12.6 Entire Agreement
These Terms, together with your service agreement and our Privacy Policy, constitute the entire agreement between you and Paytroz.
12.7 No Waiver
Our failure to enforce any right or provision does not constitute a waiver of that right or provision.
